Content License Agreement

This Content License Agreement (“Agreement”) is between Zenith Tech, doing business as Furniture Websites (“Licensor”, “we”, “us”, or “our”) and the client (“Licensee”, “you”, or “your”). By using our services, including Shopify store management and product feed updates, you agree to be bound by this Agreement.

Content License Agreement

01. Definitions
  • Licensed Content: Any product data, images, descriptions, inventory information, or other materials we provide to the Licensee for use on their Shopify store.
  • Licensee Store: The Shopify store or website owned and controlled by the Licensee where Licensed Content is used.
  • End Users: Customers or visitors to the Licensee Store who access Licensed Content.
02. License Grant

Subject to this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable license to:

  • Reproduce, display, and use Licensed Content on the Licensee Store solely for your business operations.
  • Permit End Users to view Licensed Content for personal, non-commercial purposes only.
03. Restrictions
  • Licensed Content may not be distributed, resold, or shared outside your Licensee Store.
  • Licensee may not use Licensed Content to create competing products or services.
  • If Licensor requests removal or correction of Licensed Content, Licensee must comply promptly (within 24 hours).
  • Licensee is responsible for securing access credentials and ensuring content integrity.
04. Third-Party Data

All product data may include information from third-party sources (vendors, manufacturers). Licensor provides no warranty regarding accuracy, completeness, or legality. Licensee represents that it has all necessary rights to use any third-party data provided.

05. Updates and Maintenance
  • Licensor will provide updates to Licensed Content as part of ongoing service plans.
  • Licensee agrees to implement updates promptly to ensure data accuracy on the Licensee Store.
5.1 Recurring Billing Authorization for Licensed Content Services

Licensed Content is provided exclusively as part of an ongoing, recurring subscription service. Licensee's continued receipt, display, and use of Licensed Content updates on a recurring basis constitutes Licensee's ongoing and affirmative authorization for the associated subscription charges to be applied to the payment method on file for each billing period.

Licensee acknowledges that each delivery of Licensed Content updates — including but not limited to new product listings, price updates, inventory changes, and product removals — constitutes delivery of services for that billing period, and that the corresponding charge for that period is fully earned and non-refundable upon such delivery.

Revocation of billing authorization, or cancellation of the right to receive future Licensed Content updates, requires written notice submitted to [email protected] at least 30 days prior to the next billing date, in strict compliance with the Cancellation Policy set forth in the Furniture Websites Terms & Conditions located at https://furniturewebsites.com/terms-and-conditions.html. Verbal notice, phone calls, social media messages, or any communication other than written email does not constitute valid revocation of billing authorization under this Agreement.

Any claim by Licensee that billing authorization was revoked prior to a charge must be supported by written documentation of a timely cancellation notice submitted per the above requirements. Absent such documentation, the charge for that billing period is deemed authorized, and Licensee waives any right to dispute or reverse such charge through any financial institution, card network, or payment provider.

06. Limitation of Liability

Licensor is not liable for indirect, incidental, or consequential damages arising from the use of Licensed Content. Total liability shall not exceed the amount paid by the Licensee for services related to the Licensed Content.

07. Termination

Licensor may terminate this Agreement immediately if Licensee breaches any term of this Agreement, including unauthorized use or redistribution of Licensed Content.

08. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Florida. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved exclusively through binding individual arbitration under the American Arbitration Association rules, conducted in Pasco County, Florida, consistent with the Arbitration Clause set forth in the Furniture Websites Terms and Conditions located at https://furniturewebsites.com/terms-and-conditions.html, which is incorporated herein by reference. Client waives any right to participate in class action proceedings.

09. Acceptance

By using Licensed Content through Furniture Websites, including Shopify product feed updates, the Licensee acknowledges that they have read, understood, and agreed to this Content License Agreement.
